Job Summary
This is a full-time hybrid role for a Governance Associate located in Lagos, with flexible work-from-home options. The Governance Associate will be responsible for supporting various aspects of corporate governance and compliance, managing board and committee meetings, preparing and reviewing documentation, and ensuring adherence to regulatory requirements.
Job Details
- Support end-to-end company secretarial functions for public and private companies, including board and committee meetings, AGMs, and regulatory filings.
- Ensure compliance with SEC, NGX, CAC, and other relevant regulatory requirements.
- Maintain statutory registers and ensure timely submission of statutory returns.
- Prepare and review governance documentation including board packs, resolutions, and shareholder communications.
- Advise on corporate governance best practices and assist in implementing relevant frameworks for clients.
- Liaise with external regulators, auditors, and legal advisers.
- Support corporate transactions such as rights issues, share reconstructions, and public disclosures.
Requirements
- Strong understanding of Corporate Governance, Compliance Management, and Company Secretariat practices
- Proven experience in preparing documentation, managing board and committee meetings, and drafting reports
- Excellent communication and stakeholder management skills
- Ability to work independently and as part of a team in a hybrid work environment
- Ability to work in a fast paced environment
- Detail-oriented with strong organizational and analytical skills
- Minimum of 4 years experience in a corporate secretarial or governance role, with at least 2 years handling governance for a publicly listed company.
- Strong understanding of SEC rules, NGX listing requirements, and corporate governance codes.
- Professional qualification such as ICSAN or ongoing certification is an advantage.
